This Terms of Service Agreement (“Agreement” or “Terms”) constitutes a legally binding contract between BSACNOW LLC, including its subsidiaries, affiliates, officers, directors, agents, contractors, licensors, service providers, subcontractors, and employees (collectively, “BSACNOW,” “we,” “our,” or “us”), and you, the user (“you” or “User”), governing your access to and use of all websites, mobile applications, platforms, programs, and services operated by BSACNOW, including but not limited to IndependaLink™ technology services, merchandise sales, educational programs, workshops, mentorship programs, and digital content distribution (collectively, the “Services”).

By accessing, browsing, purchasing, or otherwise utilizing the Services, you acknowledge that you have read, understood, and agree to be bound by the provisions set forth herein, together with all supplemental policies, notices, and agreements incorporated by reference. If you do not agree, you are expressly prohibited from using the Services.

BSACNOW provides a variety of Services, including but not limited to:
(a) technology products, including the IndependaLink™ platform for wellness monitoring, smart-home integration, and caregiver coordination;
(b) e-commerce sales of merchandise, books, and educational materials through bsacnowone.com, processed via third-party vendors including but not limited to Payhip and Printify;
(c) educational programming including workshops, mentorship initiatives, training programs, webinars, and certification services; and
(d) distribution of digital content such as e-books, guides, online courses, and informational materials.

You expressly acknowledge that the IndependaLink™ platform does not provide medical advice, diagnosis, or treatment and may not be used as a substitute for consultation with qualified healthcare professionals. In the event of an emergency, you must call 911 or seek immediate medical attention.

By utilizing the Services, you represent and warrant that:
(a) you are at least the age of majority in your jurisdiction;
(b) you possess the legal capacity and authority to enter into this Agreement;
(c) you shall not use the Services for any unlawful, unauthorized, or prohibited purposes; and
(d) all information you provide to BSACNOW shall be accurate, complete, and current.

All orders and transactions conducted through BSACNOW platforms are subject to acceptance and availability. Digital products shall be delivered electronically within twenty-four (24) hours, physical merchandise shall be fulfilled by Printify with an estimated delivery window of five (5) to seven (7) business days, and educational workshop access shall be confirmed by electronic communication.

By placing an order, you authorize BSACNOW or its designated third-party providers to charge your payment method for the full purchase price, including applicable taxes, fees, and shipping costs. BSACNOW reserves the right, in its sole discretion, to refuse, cancel, or limit orders suspected of fraud, misrepresentation, or violation of this Agreement.

Refunds shall be governed strictly as follows:
(a) Monthly subscription fees may be refunded if a written request is submitted within forty-eight (48) hours of payment.
(b) Annual subscription fees may be refunded if a written request is submitted within thirty (30) days of payment.
(c) Workshop registration fees may be refunded if cancellation occurs no later than twenty-four (24) hours prior to commencement.
(d) Merchandise returns and replacements shall be processed by Printify in accordance with their policies; shipping costs are non-refundable.
(e) Digital products, once electronically delivered, shall be deemed final and non-refundable except where otherwise required by applicable law.

Refunds shall be processed exclusively through BSACNOW’s designated customer service channels within five (5) to ten (10) business days following approval. No refund shall be issued after account termination or workshop commencement.

All content, software, graphics, designs, text, trademarks, service marks, trade names, educational materials, merchandise designs, and proprietary algorithms made available through the Services (collectively, “BSACNOW Intellectual Property”) are the exclusive property of BSACNOW LLC.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use BSACNOW Intellectual Property solely for personal, non-commercial purposes. Any reproduction, distribution, modification, resale, or unauthorized exploitation is strictly prohibited.

You shall not, under any circumstances, directly or indirectly:
(a) use the Services for unlawful purposes;
(b) transmit or distribute malicious software, viruses, or harmful code;
(c) engage in unauthorized data mining, scraping, or system interference;
(d) attempt to gain unauthorized access to BSACNOW systems;
(e) infringe upon the intellectual property rights of BSACNOW or any third party; or
(f) engage in conduct deemed abusive, defamatory, obscene, discriminatory, or otherwise objectionable by BSACNOW in its sole discretion.

Violation of this Section shall constitute grounds for immediate suspension or termination of Services without refund.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without representations or warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

To the maximum extent permitted by law, BSACNOW, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, or business opportunities, even if advised of the possibility thereof.

BSACNOW’s total liability to you for any claim arising out of or relating to the Services shall not exceed the total amount paid by you to BSACNOW within the preceding twelve (12) months.

You agree to indemnify, defend, and hold harmless BSACNOW, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
(a) your violation of these Terms;
(b) your misuse of the Services; or
(c) your infringement of third-party rights.

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflicts of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

BSACNOW reserves the right, in its sole discretion, to modify, amend, or replace these Terms at any time. Updates shall be posted to this page with a revised “Last Updated” date. Your continued use of the Services after such modifications shall constitute acceptance of the revised Terms.
